Presentado en la C\u00e1mara de Comercio de R\u00f3terdam en R\u00f3terdam, oficina de Gouda, el 21 de mayo de 2012.<\/p>\n En caso de contradicci\u00f3n entre la versi\u00f3n holandesa y la traducci\u00f3n, prevalecer\u00e1 la versi\u00f3n holandesa.<\/p>\n Art\u00edculo 1 Definiciones<\/strong> 2. Por \u00abcomprador\u00bb se entiende la persona f\u00edsica o jur\u00eddica con la que el vendedor celebra cualquier acuerdo relativo a los productos indicados en el art\u00edculo 1, parte 3.<\/p>\n 3. Por \u00abproducto\u00bb o \u00abproductos\u00bb se entiende por: material de cultivo y\/o plantas ornamentales y hort\u00edcolas, as\u00ed como materiales hort\u00edcolas, como fertilizantes y productos fitosanitarios.<\/p>\n Art\u00edculo 2 \u00c1mbito de aplicaci\u00f3n<\/strong><\/p>\n 1. Las presentes Condiciones Generales se aplican a todas las ofertas, ventas y entregas realizadas por el vendedor y a los acuerdos celebrados por el vendedor en relaci\u00f3n con los productos tal y como se describen en el art\u00edculo 1, parte 3 de las presentes Condiciones Generales.<\/p>\n 2. Los t\u00e9rminos del comprador, de cualquier tipo y por cualquier nombre, no son aplicables, a menos que se acuerde expresamente por escrito.<\/p>\n 3. Las disposiciones divergentes deben acordarse expresamente y por escrito. En la medida en que estas disposiciones no sustituyan a las disposiciones de estas Condiciones Generales, se considerar\u00e1 que estas disposiciones complementan estas condiciones.<\/p>\n 4. El vendedor proporcionar\u00e1 al comprador una copia de las presentes Condiciones Generales.<\/p>\n Art\u00edculo 3 Ofertas y precios<\/strong><\/p>\n 1. Los precios no incluyen el IVA ni los gastos adicionales, incluidos: gastos de transporte, costes de embalaje, costes de control de calidad y\/o inspecci\u00f3n fitosanitaria, derechos de importaci\u00f3n, grav\u00e1menes gubernamentales y otros grav\u00e1menes oficiales, as\u00ed como las tasas en virtud de los derechos de obtentor y cualquier otra tasa, a menos que se acuerde lo contrario por escrito. Si no se acuerda ning\u00fan precio, se aplicar\u00e1 el precio del vendedor vigente en el momento de la entrega.<\/p>\n 5. El vendedor tiene derecho a ajustar el precio, de acuerdo con los requisitos de razonabilidad y equidad, a un nivel que determine el vendedor, si sus gastos han aumentado significativamente desde que se fij\u00f3 el precio.<\/p>\n 6. Salvo que se indique lo contrario, los precios son en euros (\u20ac).<\/p>\n 7. Si el comprador cancela el acuerdo, deber\u00e1 pagar inmediatamente el 25% del valor bruto de venta de los productos a entregar como cargo por cancelaci\u00f3n.<\/p>\n 8. En el caso de que los productos en cuesti\u00f3n resulten invendibles o solo se puedan vender a un precio inferior como resultado de dicha cancelaci\u00f3n, el comprador ser\u00e1 responsable de las diferencias de precio y otros da\u00f1os incurridos por el vendedor.<\/p>\n 9. Ambas partes est\u00e1n obligadas a limitar en la medida de lo posible los posibles da\u00f1os debidos a la cancelaci\u00f3n.<\/p>\n Art\u00edculo 4 Condiciones de venta<\/strong><\/p>\n 1. El vendedor aceptar\u00e1 los pedidos de productos para los que se deban comprar materiales al comprador que a\u00fan no est\u00e9n completamente desarrollados en el momento de la compra, siempre que se cumplan las condiciones normales de cultivo de un buen material vegetal con un buen aspecto.<\/p>\n 2. El fracaso total o parcial del cultivo o la cosecha de productos o el deterioro parcial durante el almacenamiento por cualquier motivo liberar\u00e1 al vendedor de la obligaci\u00f3n de entrega y de sus dem\u00e1s obligaciones, a menos que sea atribuible a un acto intencional o negligencia grave por parte del vendedor.<\/p>\n 3. Si la entrega de una variedad que ha sido solicitada no es posible por cualquier motivo, el vendedor tiene derecho a entregar otra variedad o a cancelar el pedido. El vendedor, en consulta con el comprador, se esforzar\u00e1 por ofrecer una variedad que sea equivalente en la medida de lo posible. Esta entrega de sustituci\u00f3n se realizar\u00e1 en las mismas condiciones acordadas originalmente. Si el comprador no acepta otra variedad, el comprador tiene derecho a cancelar el pedido de esta variedad. Si el pedido de la variedad que no se puede entregar es parte de un acuerdo m\u00e1s amplio, entonces la cancelaci\u00f3n mencionada anteriormente solo se refiere a la variedad no entregada y las dem\u00e1s partes del acuerdo permanecen en vigor. Si se ha acordado la entrega de otra variedad, el comprador no tiene derecho a recibir una indemnizaci\u00f3n por da\u00f1os y perjuicios ni a rescindir el acuerdo.<\/p>\n Art\u00edculo 5 Entrega y transporte<\/strong><\/p>\n 1. La entrega se realiza en f\u00e1brica, a menos que se acuerde lo contrario. En el momento de la entrega, el riesgo relacionado con los productos en cuesti\u00f3n, con todo lo que est\u00e1 relacionado con ellos, se transfiere al comprador.<\/p>\n 2. Despu\u00e9s de consultar con el comprador, el vendedor determinar\u00e1 la fecha de entrega. Las fechas de entrega indicadas no se consideran plazos. Si se acuerda una fecha de entrega, el vendedor se esforzar\u00e1 por mantener esa fecha de entrega en la medida de lo posible. Si el vendedor no puede realizar la entrega en la fecha acordada o en el plazo acordado, informar\u00e1 al comprador de ello lo antes posible. Las Partes determinar\u00e1n una nueva fecha de entrega en consulta. Esta nueva fecha de entrega constituir\u00e1 inmediatamente la fecha de entrega acordada.<\/p>\n 3. Si el comprador recibe los productos solicitados antes de la fecha o el per\u00edodo de entrega acordado como se indica en la parte 2, el riesgo resultante es totalmente para el comprador.<\/p>\n 4. Si el comprador recibe o desea recibir los productos solicitados despu\u00e9s de la fecha de entrega acordada, el riesgo de cualquier p\u00e9rdida de calidad resultante de un almacenamiento m\u00e1s prolongado ser\u00e1 totalmente responsabilidad del comprador.<\/p>\n 5. Los gastos adicionales debidos a la entrega anticipada o posterior de los productos a los que se hace referencia en la parte 3 o 4 de este art\u00edculo correr\u00e1n a cargo del comprador.<\/p>\n 6. Si transcurrido un determinado plazo de conservaci\u00f3n que pueda considerarse razonable en funci\u00f3n del tipo de producto, el comprador no ha recibido el producto y el riesgo de p\u00e9rdida de calidad y\/o deterioro de los productos no deja otra opci\u00f3n, se considerar\u00e1 que el pedido ha sido cancelado por el comprador. En ese caso, el comprador est\u00e1 obligado a pagar los da\u00f1os y perjuicios sufridos por el vendedor como consecuencia de ello.<\/p>\n Article 6 Packaging\/carts\/pallets<\/strong><\/p>\n 1. Single-use packaging can be charged and will not be taken back.<\/p>\n 2. All packaging, except single-use packaging, remains the property of the seller.<\/p>\n 3. The seller is entitled to charge the buyer an agreed user fee for reusable packaging and other durable material, which fee shall be specified separately on the invoice.<\/p>\n 4. Within 30 days after delivery or immediately after planting, the buyer is obliged to return the packaging to the seller at his own expense and in good condition and under the proper hygienic conditions. If it has been agreed that the seller will collect the packaging himself, the buyer must see to it that the packaging remains in good state and under the proper hygienic conditions and store it so that the seller can collect it in a normal manner.<\/p>\n 5. The buyer may not continue to use or allow third parties to use the packaging.<\/p>\n 6. If carts, rolling containers or reusable pallets have been delivered with the products, then the buyer must return identical carts, rolling containers or reusable pallets with the same manner of registration (such as chip or label) within one week, unless agreed otherwise. The buyer may not keep these for his own use or allow third parties to make use of them.<\/p>\n 7. In the event of damage or loss of reusable packaging, carts, rolling containers, pallets, etc., the buyer is obliged to repay the repair or replacement costs to the seller and also repay any extra rent as a result of late return.<\/p>\n Article 7 Payment<\/strong><\/p>\n 1. The seller is entitled to request an advance of 50% on the invoice amount from the buyer.<\/p>\n 2. Payment must occur within thirty days after the invoice date, unless otherwise agreed.<\/p>\n 3. The buyer is not entitled to reduce the purchase price by any counter-claim he may make.<\/p>\n 4. The buyer is not entitled to suspend the fulfilment of his payment obligation in the event of a complaint submitted by him to the seller regarding the products delivered, unless the seller expressly agrees with the suspension in exchange for a guarantee.<\/p>\n 5. All payments will be made at the offices of the seller or by deposit or transfer into a bank account to be indicated by the seller.<\/p>\n 6. Payment must be made in euros (\u20ac) unless otherwise indicated on the invoice. In the last-mentioned case, the seller is entitled to charge exchange rate differences to the buyer.<\/p>\n 7. If the buyer does not fulfil his payment obligation, mentioned in part 2 of this article, in time, he will be deemed to be in default by operation of law. The seller will then be entitled to charge interest at 1% monthly as from the date that the buyer is in default of fulfilling the payment obligation indicated in part 2, with a partial month being counted as a whole month. In the event of the buyer\u2019s default, the seller shall also be entitled to charge the exchange rate loss suffered as a result of that.<\/p>\n 8. If the buyer is in default or otherwise falls short in fulfilling any of his obligations, all reasonable costs to obtain satisfaction, both legal and extra-legal, will be at his expense.<\/p>\n 9. The seller reserves the right to not carry out, or no longer carry out, orders or agreements if previous deliveries have not been paid for by the buyer or the buyer has not fulfilled or is at risk of not fulfilling his obligations to the seller. The buyer is required to pay the damage suffered by the seller due to this. The seller is not responsible for any damage to the buyer as a result of not carrying out orders.<\/p>\n 10. The buyer located in a different EU Member State than the Netherlands will inform the seller in writing of his correct VAT identification number. Furthermore, the buyer shall provide all necessary information and documents that the seller requires as proof that the products have been delivered in a different EU Member State than the Netherlands. The buyer will indemnify the seller for all claims resulting from and all negative consequences of the buyer not or not entirely complying with the provisions in this article. The seller reserves the right to increase the price payable by the buyer with the VAT rate that would apply to the delivery in question in the event of delivery within the Netherlands.<\/p>\n Article 8 Force majeure<\/strong><\/p>\n 1. Force majeure refers to any circumstance outside the direct sphere of influence of the seller, as a result of which fulfilment of the agreement can no longer reasonably be expected. This may include strikes, fire, extreme weather conditions or government measures and diseases and plagues on the one hand or faults in the materials supplied to the seller on the other hand.<\/p>\n 2. If the seller cannot fulfil its obligations because of force majeure, the seller must inform the buyer of the circumstances in writing as soon as possible.<\/p>\n 3. In the event of force majeure, the parties will agree a change to the agreement or complete or partial dissolution of the agreement.<\/p>\n 4. If the parties cannot agree on a change or dissolution within 10 days after the written notice of the circumstances in question, either of the parties may then apply to the court which is deemed competent by virtue of article 14.<\/p>\n Article 9 Unforeseen circumstances<\/strong><\/p>\n 1. In the event of unforeseen circumstances on the part of one of the parties that are so serious that, in view of the requirements of reasonableness and fairness, the other party may not expect that the concluded agreement will remain in effect unchanged, the one party will inform the other party about the unforeseen circumstances in writing and the parties will consult about a change of the agreement or about the complete or partial dissolution of the agreement.<\/p>\n 2. If the parties cannot agree on a change or dissolution within 10 days after the written notice of the circumstances in question, either of the parties may apply to the court deemed competent by virtue of article 14.<\/p>\n Article 10 Guarantees and complaints<\/strong><\/p>\n 1. The seller guarantees that the products that are to be delivered on the basis of the order will comply with the requirements set out in the applicable regulations of Dutch testing authorities in effect at the time of concluding the agreement.<\/p>\n 2. The seller does not guarantee the trueness to variety of the products that are generally known to branch back.<\/p>\n 3. The seller does not guarantee the growth and blossoming of the products delivered.<\/p>\n 4. The buyer will at all times be provided with all requested cultivation information to the best of the seller\u2019s knowledge and abilities, by or on behalf of the seller, but without any liability on behalf of the seller.<\/p>\n 5. The seller registers the crop protection products that he uses in his own records. Copies of this registration will be made available to the buyer upon request.<\/p>\n 6. Complaints regarding visible defects, including those regarding the quantity, size or weight of the products delivered, must be indicated to the seller within two days after delivery and the seller must be informed in writing within eight days.<\/p>\n 7. Complaints regarding non-visible defects must be indicated to the seller immediately after detection (within two days at the latest) and the seller must be informed in writing within eight days.<\/p>\n 8. Complaints must also be indicated to the seller at such a time that the seller can check the product.<\/p>\n 9. A complaint must at least include: a. A detailed and accurate description of the defect; b. The storage location of the product to which the complaint refers; c. A specification of facts on the basis of which it can be determined that the products delivered by the seller and those rejected by the buyer are the same.<\/p>\n 10. When the products delivered are rejected by the buyer under the terms of this article and the buyer and the seller do not immediately agree on an amicable settlement, the buyer must then appeal to an independent, officially accredited expert who will compile an expertise report. The costs of the expertise report will be for the seller if the rejection is justified and for the buyer if it is not justified. In any case, the buyer shall advance the costs in question.<\/p>\n 11. Complaints regarding a portion of the products delivered cannot give rise to rejection by the buyer of the entire delivery.<\/p>\n 12. The buyer is obliged to check the delivered quantity of the shipment delivered, or have this checked, on receipt and to report a deviation of the quantity to the seller in accordance with part 6 of this article.<\/p>\n 13. Expressing a complaint does not suspend the buyer\u2019s obligation to pay, regardless of any justification of a complaint.<\/p>\n Article 11 Liability<\/strong><\/p>\n 1. The seller accepts no liability whatsoever, unless in one of the cases specified in this article. In such a case, the liability of the seller will be limited to no more than the amount of the invoice. In no event whatsoever, shall the seller be liable for any form of consequential damage, loss of turnover or loss of profit.<\/p>\n 2. The seller is not liable for damages due to force majeure as indicated in article 8 part 1.<\/p>\n 3. All liability regarding non-timely delivery by the seller is hereby excluded, unless the agreed delivery date referred to in article 5 part 2 is exceeded by more than seven days. If the delivery date is exceeded by more than seven days, the seller must be given written notice of default, whereby the buyer must set a reasonable period for the seller to fulfil his obligations as yet.<\/p>\n 4. Compensation in the event of a complaint can only take place if the complaint, submitted in accordance with article 10, proves to be justified and provided that there is culpability or conscious negligence on the part of the seller. Moreover, the compensation shall be limited to the part of the delivered goods to which the complaint pertains.<\/p>\n 5. In the event of a partial failure of the cultivation at the buyer as a result of the delivered products, then, if the seller is required to pay compensation for damages by virtue of part 4 of this article, the compensation of damages payable by the seller shall not exceed the percentage of the invoice value that equals the portion of the cultivation that failed at the buyer. If, when the damage is reported, the seller and the buyer jointly determine or a third party determines the percentage of deviating, diseased or weak plants, this percentage will determine the seller\u2019s maximum liability.<\/p>\n 6. The buyer may not deduct damage compensation from any outstanding amounts payable to the seller and damage compensation does not entitle the buyer not to pay the invoice amount or not to pay this timely.<\/p>\n 7. Both parties are obliged to ensure that any damage is limited as much as possible.<\/p>\n 8. Each possible claim regarding compensation for damages pursuant to these General Terms expires, if and as soon as one year has passed since the delivery of the products in question when the claim has not been submitted to the seller in writing.<\/p>\n Article 12 Transfer of ownership, retention of ownership and surety<\/strong><\/p>\n 1. Except for the terms of part 2 of this article, ownership of the products is transferred to the buyer at the time of delivery under article 5 of these General Terms.<\/p>\n 2. All delivered and to be delivered products, and the products arising therefrom, irrespective in which stage of the cultivation process, remain the sole property of the seller, until all claims that the seller has or acquires vis-\u00e0-vis the buyer, including in any case the claims specified in Book 3, Section 92, Subsection 2 of the Dutch Civil Code have been paid in full.<\/p>\n 3. As long as the ownership of the products has not been transferred to the buyer, the buyer may not pledge the products or grant any other right to these products to third parties, except within the context of his normal business operations. The buyer undertakes upon the seller\u2019s first request to cooperate in establishing a pledge right on the receivables that the buyer acquires or shall acquire following the delivery of the products to his customers.<\/p>\n 4. The buyer is obliged to store the products that have been delivered subject to retention of title with the necessary care and in such a manner that the products can be identified by the seller.<\/p>\n 5. The seller is entitled to repossess the products delivered subject to retention of title and that are still located at the buyer if the buyer is in default with regard to the fulfilment of his payment obligations or is experiencing payment difficulties or threatens to experience payment difficulties. The buyer shall grant the seller free access to his premises and\/or buildings for the inspection of the products and\/or in order to exercise the seller\u2019s rights.<\/p>\n 6. If there is any doubt in the mind of the seller regarding the ability of the buyer to pay, the seller will be entitled to defer performances until the buyer has provided surety for the payment. If the buyer has not provided surety for the payment within fourteen days after being ordered to do so, the seller is entitled to terminate the agreement by cancellation.
